Acceptance of Terms
By subscribing to, accessing, or using any services, products, algorithms, automation tools, paper trading systems, analytics dashboards, trade notifications, or related technology services provided through the SmartTradersIndia platform (collectively, the "Platform"), you ("User") agree to comply with and be legally bound by these Terms & Conditions ("Terms").
If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately. Continued use of the Platform after any modification to these Terms constitutes acceptance of the revised Terms.
Definitions
Nature of Service
SmartTradersIndia is a Software-as-a-Service (SaaS) technology platform classified under SAC Code 998314 (IT Platform / Software-as-a-Service). The Platform provides:
- โAlgorithmic trading automation and copy-trading infrastructure
- โStrategy execution systems that replicate master account trades to subscriber accounts
- โPaper trading simulations with real market data
- โAnalytics dashboards, performance charts, and P&L reports
- โTrade notifications via Telegram
- โGST-compliant invoicing and billing management
- โKYC onboarding and identity verification tools
Eligibility
To use the Platform, you must:
- โBe at least 18 years of age
- โBe a resident of India or legally permitted to use crypto derivatives trading platforms
- โHold a valid, active account on Delta Exchange India
- โHave successfully completed the Platform's KYC process
- โAgree to and comply with Delta Exchange India's own terms and conditions
- โHave sufficient understanding of the risks associated with algorithmic and derivatives trading
Subscription Plans
The Platform offers the following subscription tiers:
Plan access is determined by the algorithm category the User subscribes to. Plan upgrades and downgrades take effect from the next billing cycle. The Platform reserves the right to modify plan structures with reasonable notice.
Platform Fee Methodology
Step 1 โ Determine Capital Deployed:
Where lots_value is the number of lots chosen by the User at subscription time, and investment_per_lot is a per-algorithm figure set by the Platform admin (reviewed periodically as underlying asset prices change).
Step 2 โ Determine Fee Rate by Algorithm Risk Category:
Step 3 โ Calculate Monthly Fee:
Step 4 โ Check Billing Conditions: The fee is charged only if both conditions are simultaneously true on the last day of the calendar month:
- โCondition A: The User's gross trading P&L for that algorithm in the current calendar month is greater than zero (profitable month).
- โCondition B: The User's cumulative gross trading P&L for that algorithm exceeds their current High Water Mark.
If either condition is false, the Platform Service Fee for that algorithm for that month is โน0.00. No exceptions, no partial charges.
Step 5 โ Proration for Partial Months:
Proration applies when a User subscribes or unsubscribes mid-month. Days are counted from subscription activation date to unsubscription date or month end, whichever comes first.
Example (for illustration only): User subscribes to a Conservative algorithm with 50 lots and investment_per_lot of โน1,700. Capital Deployed = 50 ร โน1,700 = โน85,000. Monthly fee if conditions met = โน85,000 ร 1.10% = โน935.00 + 18% GST = โน1,102.30 total.
High Water Mark (HWM) Protection
Each algorithm subscription independently tracks a High Water Mark (HWM) per User:
- โHWM is calculated from cumulative gross trading P&L recorded in the Platform's trades table.
- โHWM only ever moves upward โ it is never reduced, not even in loss months.
- โIf a loss month occurs, the HWM remains at its previous peak.
- โAll subsequent losses must be fully recovered before the HWM can advance and fees resume.
- โEach algorithm tracks its own HWM independently โ a drawdown in one algorithm does not affect another.
- โP&L for HWM calculation is gross trading P&L only. Platform fees are not deducted from the HWM calculation.
The HWM mechanism ensures that the User never pays a Platform Service Fee for recovering previously lost capital โ only for generating genuinely new profits above the previous peak.
Billing Cycle & Invoicing
- โBilling runs on the last calendar day of each month at 11:00 PM IST.
- โFees are automatically debited from the User's STI Wallet balance.
- โA GST-compliant tax invoice is generated for every billing event (including โน0 months).
- โInvoice number format: STI/YYYY-YY/NNNNN (sequential, unique).
- โPDF invoices are available for download from the Wallet tab in the Platform.
- โIf wallet balance is insufficient at billing time, live trading is paused until topped up.
- โUsers receive a Telegram notification if wallet balance falls below 2ร estimated monthly fee.
GST & Tax Obligations
SmartTradersIndia charges Integrated Goods and Services Tax (IGST) at 18% on all Platform Service Fees under the Central Goods and Services Tax Act, 2017.
Users who provide their GSTIN at registration may claim GST Input Tax Credit (ITC) subject to their own eligibility under applicable tax law. SmartTradersIndia does not provide tax advice.
STI Wallet & Payment
- โThe STI Wallet is an in-Platform balance used exclusively for Platform Service Fee deductions.
- โUsers top up their STI Wallet via UPI or approved payment methods.
- โThe STI Wallet does not earn interest and is not a bank account or deposit.
- โUnused wallet balance is refundable on request โ see Refund Policy.
- โThe Platform does not directly process deposits, withdrawals, or hold user trading capital.
Subscription Usage Policy
Each subscription is intended solely for the personal use of the registered subscriber. Unless explicitly permitted under the active subscription plan:
- โOnly one exchange account may be linked per subscription.
- โAccount sharing between multiple individuals is prohibited.
- โSubscription resale or transfer is prohibited.
- โRedistribution of platform services or trade signals is prohibited.
Additional linked accounts are permitted only on Advanced and Pro plans through officially supported Platform features, subject to applicable fees (โน499/month per additional account).
Prohibited Activities
Users are strictly prohibited from:
- โRedistributing trade signals publicly or privately to third parties.
- โOperating unauthorised copy-trading or signal-reselling services using Platform data.
- โReselling subscriptions or Platform access in any form.
- โSharing login credentials, API execution streams, or session tokens.
- โCreating commercial mirror services or reseller networks without written Platform approval.
- โReverse engineering, decompiling, or attempting to extract Platform infrastructure, algorithms, or execution logic.
- โAttempting to bypass subscription restrictions or Platform access controls.
- โAutomating unauthorised signal extraction or scraping from the Platform.
- โUsing the Platform for any unlawful purpose under Indian law.
- โSubmitting false KYC information or impersonating another individual.
Fair Usage & Abuse Prevention
The Platform reserves the right to monitor usage patterns and investigate suspected abuse. Actions available to the Platform include:
- โTemporarily restricting access to suspected accounts pending investigation.
- โPermanently suspending accounts found in violation of these Terms.
- โCancelling subscriptions without refund in cases of confirmed policy violations.
- โReporting serious violations to relevant legal authorities.
Examples of abuse include excessive redistribution, unauthorised commercial usage, infrastructure misuse, or repeated violation of Platform limitations.
Exchange & API Responsibility
Users are solely responsible for:
- โSecuring their Delta Exchange account credentials and preventing unauthorised access.
- โEnsuring their API keys grant only order-placement permission.
- โMaintaining sufficient trading balance in their exchange account.
- โVerifying that their exchange account remains active and compliant.
- โEnsuring their Delta Exchange sub-account has the correct whitelisted IP address.
The Platform is not responsible for exchange failures, API disruptions, third-party platform issues, or unauthorised access caused by User negligence.
API Security Notice
API credentials submitted to the Platform are stored encrypted using AES-256-GCM encryption. The Platform uses API keys solely to place orders on the User's behalf โ no other operations are performed.
No Custody of User Funds
The Platform does not accept, hold, manage, control, or take custody of any User trading capital. At all times:
- โAll trading balances remain in the User's own Delta Exchange account.
- โThe Platform has no ability to withdraw funds from User exchange accounts.
- โThe STI Wallet holds only Platform service fee balance โ not trading capital.
- โDeposits and withdrawals occur directly between the User and their exchange โ not through the Platform.
SaaS Technology Platform Disclaimer
SmartTradersIndia operates strictly as a Software-as-a-Service (SaaS) technology provider. The Platform is not:
- โA SEBI-registered Investment Adviser (IA) or Research Analyst (RA).
- โA SEBI-registered Portfolio Manager or Portfolio Management Service (PMS).
- โA registered stock broker, sub-broker, or authorised person.
- โA collective investment scheme, mutual fund, or alternative investment fund.
- โA financial intermediary, custodian, or depository participant.
The Platform's service is classified as an IT Platform / SaaS service (SAC 998314) and regulated under applicable GST and technology service laws โ not under SEBI investment advisory regulations.
No Investment Advice or Guaranteed Returns
Nothing on the Platform constitutes investment advice, financial advice, trading advice, or a recommendation to buy or sell any financial instrument. The Platform does not guarantee:
- โProfits, fixed returns, or capital appreciation.
- โConsistent monthly performance matching historical results.
- โProtection against trading losses or capital drawdown.
- โSuccessful trade execution, fill prices, or order outcomes.
All displayed analytics, historical performance data, simulations, paper trading results, and performance charts are for informational and educational purposes only. Actual live trading results may differ significantly.
Execution Variability Disclaimer
Trade execution outcomes may vary between users due to:
- โMarket volatility and liquidity conditions at time of execution.
- โExchange latency, API response times, and order queue depth.
- โUser internet connectivity and geographic latency.
- โSlippage between master signal price and follower fill price.
- โAccount-specific margin requirements and risk parameters.
- โExchange infrastructure differences and maintenance windows.
The Platform does not guarantee identical execution prices, fill rates, or P&L outcomes across all subscriber accounts.
Risk Disclosure
Trading in financial markets, including cryptocurrency derivatives and options, involves substantial risk and may result in partial or complete loss of capital. Users acknowledge and accept all risks including:
- โMarket volatility including extreme and rapid price movements.
- โExecution risks including slippage, partial fills, and order rejection.
- โExchange outages, API disruptions, and technology failures.
- โLiquidity issues in specific market conditions.
- โRegulatory changes affecting crypto derivatives markets in India.
- โForce majeure events beyond the Platform's control.

Intellectual Property
All Platform infrastructure, algorithms, execution logic, analytics systems, branding, content, reports, dashboards, and software components remain the exclusive intellectual property of SmartTradersIndia. Unauthorised copying, reproduction, distribution, or commercial exploitation is strictly prohibited and may result in civil and criminal liability under Indian intellectual property law.
Modification of Services
The Platform reserves the right to modify pricing, update features, add or remove strategies, revise execution logic, or discontinue any service component at any time. Material changes affecting billing will be communicated via Telegram notification with reasonable advance notice where practicable.
Force Majeure
The Platform shall not be held liable for any delay, interruption, failure, or loss caused directly or indirectly by events beyond reasonable control, including but not limited to: exchange outages, API disruptions, internet failures, cloud infrastructure failures, cyber attacks, government restrictions, regulatory actions, natural disasters, or third-party service interruptions.
Lifetime Access Clarification
Where "lifetime access" is referenced in any promotional material, it refers to the operational lifetime of the specific product or service. It does not guarantee perpetual or indefinite availability of all features, integrations, or infrastructure. The Platform reserves the right to modify, discontinue, or retire products over time.
Suspension & Termination
The Platform may suspend or terminate any account without prior notice if suspicious activity is detected, policy violations occur, payment fraud is suspected, or Platform misuse is identified. Termination due to policy violation may result in permanent loss of access without refund. Users may voluntarily terminate their account at any time through the Platform settings.
Limitation of Liability
To the maximum extent permitted by applicable law, SmartTradersIndia, its owners, developers, affiliates, employees, and partners shall not be liable for: financial losses, missed trading opportunities, indirect or consequential damages, trading losses, exchange-related failures, API execution errors, or service interruptions. Users assume full responsibility for all trading decisions and their financial outcomes.
In no event shall the Platform's aggregate liability to any User exceed the total Platform Service Fees paid by that User in the twelve months preceding the event giving rise to the claim.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. Users agree to attempt resolution through Platform support channels before initiating legal proceedings.
Changes to These Terms
These Terms may be updated periodically to reflect changes in the Platform, applicable law, or business practices. Users will be notified of material changes via Telegram. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes.
